Having served as both consultant and expert witness in various jurisdictions, we regularly assist attorneys in many types of legal matters, including breach of contract, business interruption, personal injury, and taxation. Tax Counsel

We value closely held entities and fractional interests in closely held entities for IRS compliance purposes.  These engagements encompass various sections of the IRC for gift tax, estate tax, and income tax purposes, including built-in gains tax for corporate reorganizations, stock options for employee compensation, and international transfer pricing.

Commercial Litigation Counsel

We value closely held entities and fractional interests in closely held entities for IRS compliance purposes.  These engagements encompass various sections of the Internal Revenue Code (IRC) for gift tax, estate tax, and income tax compliance reporting purposes.  These engagements include valuations to assist management in supporting the amount of built-in gains tax for corporate reorganizations, stock options for employee compensation, and international transfer pricing transactions.

Family Law Counsel

In the area of family law or marital dissolution, we assist attorneys in identifying and valuing family businesses held in the marital estate.  Holding the CFF (Certified in Financial Forensics) designation with the American Institute of CPAs, we are also called upon to locate and verify assets and conduct other forensic accounting functions, including direct and indirect tracing to define an asset's original character or to separate or partition assets that become combined.

ERISA/ESOP Counsel

For Employee Stock Ownership Plans (ESOPs), we appraise closely held businesses adhering to the adequate consideration regulations of the Employee Retirement Income Security Act and the Department of Labor proposed regulations which require that someone independent of all parties to the ESOP conduct a corporate stock valuation under the following circumstances:

  • When the ESOP makes an acquisition of employer corporation securities;
  • At least annual thereafter, although some sponsor companies routinely have their employer stock valuation updated semi-annually or quarterly;
  • Whenever there is an employer stock purchase/sale transaction between the plan and a party in interest; and
  • If the ESOP sells out of its employer corporation stock ownership position.
